Next-Day Settlement Service Terms
Introduction and Status ofthese Terms
These Next-Day Settlement Service Terms ("NDSTerms") supplement, and are incorporated by reference into, the USCross River Bank Service Agreement Terms (the "Merchant Terms")between Pay.com US, Inc. dba Pay.com ("Pay.com") and theMerchant identified in the onboarding or application process ("Merchant").These NDS Terms govern Merchant's optional use of the faster settlementdelivery feature described below (the "Next-Day SettlementService"). Capitalized terms not defined in these NDS Terms have themeaning given to them in the Merchant Terms, including the glossary at ExhibitA and the Bank Service Terms at Exhibit C.
In the event of any conflict between these NDSTerms and the Merchant Terms with respect to the Next-Day Settlement Servicespecifically, these NDS Terms shall prevail; for all other purposes, theMerchant Terms (including Exhibit C) shall continue to apply in full.
Pay.com may update these NDS Terms from timeto time in accordance with Section 28 (Variation and Waiver) of the MerchantTerms. Continued use of the Next-Day Settlement Service after notice of anysuch update constitutes Merchant's acceptance of the revised NDS Terms.
1. The Next-Day SettlementService
1.1 TheNext-Day Settlement Service is an optional feature that delivers Merchant'ssettlement funds to the Merchant Bank Account using a faster payment rail thanthe rail otherwise used for standard settlement, so that Merchant receives itsfunds sooner. Pay.com initiates the transfer of settlement funds at the sametime, and in the same amount, as it would under Merchant's standard settlementarrangement; the Next-Day Settlement Service changes only the delivery rail andthe resulting time at which funds are posted to the Merchant Bank Account, anddoes not accelerate, advance, or otherwise change when Pay.com or the Bankreleases those funds.
1.3 Enrollmentin the Next-Day Settlement Service does not modify, waive, or otherwise affectMerchant's obligations under the Merchant Terms, including with respect tochargebacks, refunds, fees, or Merchant's representations and warranties.

3. Settlement Timing
3.1 Pay.comwill initiate the transfer of settlement funds, net of Fees, LiabilityAssessments, chargebacks, refunds, and any other amounts owed to Pay.com underthe Merchant Terms, at the same time as it would under Merchant's standardsettlement arrangement. The Next-Day Settlement Service uses a payment railintended to make those funds available in the Merchant Bank Account within one(1) Business Day of that transfer being initiated, faster than the deliverytiming of Merchant's standard settlement rail, unless a Settlement Delay Eventoccurs.
3.2 Merchantacknowledges that the timing described in Section 3.1 depends on the processingand posting practices of the receiving bank for the Merchant Bank Account, which remain outside Pay.com's and the Bank's control.
